Terms of Service

Please read these Terms of Service ("Terms") carefully before using Execio. By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.

Service Description

Execio is a software-as-a-service application providing productivity and business management tools for commission-based sales professionals, including real estate agents, mortgage brokers, wholesalers, insurance agents, contractors, and entrepreneurs/business owners. Features include task management, recurring task scheduling, contact and pipeline management, revenue tracking, calendar integration (with Google Calendar), and an AI assistant ("Kelo") for in-app coaching and automation.

Execio is hosted at https://execio.app and is operated by Execio LLC, a California limited liability company.

Account Registration

To use Execio, You must create an account using a valid email address and password, or by signing in with Google. You must be at least 16 years old and have the legal capacity to enter into binding contracts to create an account. Users between 16 and 18 should have parent or guardian awareness of their use of paid subscription services.

You are responsible for:

  • Maintaining the confidentiality of Your account credentials
  • All activity that occurs under Your account
  • Notifying Us immediately of any unauthorized access at support@execio.app

We may suspend or terminate accounts that violate these Terms, are used for fraudulent purposes, or are inactive for an extended period.

Subscription and Payment

Execio is offered on a subscription basis. Specific pricing and tier details are available at execio.app. By subscribing, You agree to:

  • Pay all fees associated with Your selected plan
  • Provide accurate payment information via our payment processor (Stripe)
  • Automatic renewal at the end of each billing cycle unless You cancel

You may cancel at any time. Cancellation takes effect at the end of Your current billing period — refunds for partial periods are not provided except where required by applicable law.

Where Execio offers a free trial, You may cancel during the trial period to avoid being charged. If You do not cancel before the trial ends, Your subscription will automatically convert to a paid subscription at the price disclosed at sign-up.

Subscription fees may change with at least 30 days' written notice. Founding Member or other promotional pricing, if offered, remains locked at the original rate for as long as the account remains continuously subscribed and in good standing, subject to the specific terms of that promotion.

Failed payments may result in service suspension after a reasonable grace period.

Acceptable Use

You agree NOT to use Execio to:

  • Violate any applicable law or regulation
  • Infringe intellectual property or other rights of third parties
  • Send spam, phishing, or other unsolicited communications
  • Attempt to access other users' accounts or data
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Use the Service to develop a competing product
  • Resell, sublicense, or redistribute access to the Service without authorization
  • Upload or generate content that is unlawful, harmful, harassing, defamatory, obscene, or otherwise objectionable
  • Use the AI assistant features (Kelo) to generate content that violates Anthropic's Acceptable Use Policy, which applies in addition to these Terms
  • Interfere with, disrupt, or impose an undue load on the Service or its infrastructure
  • Use automated means (bots, scrapers, etc.) to access the Service except as expressly authorized

We reserve the right to suspend or terminate accounts that violate these provisions, with or without notice depending on the severity of the violation.

Intellectual Property

Execio, the Execio Method, Kelo, and all related logos, trademarks, content, features, and functionality are the exclusive property of Execio LLC. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for Your own business purposes, subject to these Terms.

You retain ownership of the data You input into Execio (tasks, contacts, notes, pipeline records, etc.). By using the Service, You grant Us a limited license to process this data solely to provide the Service to You, as described in our Privacy Policy.

You may not use any Execio branding, logos, or trademarks for marketing or promotional purposes without prior written consent.

Google Calendar Integration

Execio offers an optional integration with Google Calendar. By connecting Your Google Calendar to Execio, You authorize Execio to access Your calendar data via the Google Calendar API in accordance with Our Privacy Policy and the Google API Services User Data Policy.

You can disconnect the Google Calendar integration at any time from Your Execio account settings, or revoke access directly through Your Google Account permissions at https://myaccount.google.com/permissions.

Calendar synchronization is provided on a best-effort basis. We do not guarantee that all changes will sync immediately or that no data will be lost in edge cases such as network failures, third-party API changes, or conflicts between simultaneous edits. You are encouraged to maintain independent backups of critical scheduling information.

AI Features (Kelo)

Execio includes an AI assistant called Kelo. Kelo generates suggestions, scripts, summaries, and other content based on Your inputs and account context.

You acknowledge and agree that:

  • Kelo's output is generated by an AI model and may contain inaccuracies, errors, or content that is not appropriate for Your specific situation
  • Kelo's output is not a substitute for professional advice in any field, including legal, financial, real estate, mortgage, insurance, or accounting
  • You are solely responsible for reviewing Kelo's output before relying on it or sharing it with clients or other third parties
  • You will not use Kelo to generate content that violates these Terms or Anthropic's Acceptable Use Policy

Disclaimers

Execio is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any data will be preserved without backup.

Execio is a productivity tool. It does not provide legal, financial, real estate, mortgage, insurance, tax, or other professional advice. The AI assistant (Kelo) generates suggestions based on Your inputs but is not a substitute for professional judgment. You are solely responsible for the decisions You make using Execio.

To the maximum extent permitted by applicable law, We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law, Execio LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business opportunities, data, or goodwill, arising out of or in connection with Your use of the Service.

In no event shall Our total aggregate liability to You for all claims arising out of or related to these Terms or the Service exceed the greater of (a) the fees You paid Us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow exclusions or limitations of certain damages, so some of the above may not apply to You.

Indemnification

You agree to indemnify, defend, and hold harmless Execio LLC, its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any third-party right, including intellectual property or privacy rights
  • Any content You upload to, generate within, or transmit through the Service

Termination

You may stop using the Service at any time and delete Your account from the Settings page within the application.

We may suspend or terminate Your access to the Service immediately, without prior notice or liability, if You breach these Terms or if We are required to do so by law.

Upon termination, Your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to its conflict of law provisions.

Any disputes shall first be attempted to be resolved through good-faith informal negotiation between You and Execio LLC, with notice sent to support@execio.app. If unresolved within thirty (30) days, disputes shall be resolved in the state or federal courts located in Los Angeles County, California, and You consent to the exclusive jurisdiction of those courts.

Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to Your registered address and/or via in-app notification at least thirty (30) days before they take effect. Non-material changes (typographical corrections, clarifications) may be made at any time.

Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If You do not agree to the revised Terms, You must stop using the Service before the changes take effect.

Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with Our Privacy Policy, constitute the entire agreement between You and Execio LLC regarding the Service and supersede any prior agreements.
